The following terms and conditions describe how A. Molina & C. S.p.A. offers users access to its services available on the website.

1. DEFINITIONS

To ensure complete understanding and acceptance of these terms and conditions, the following terms, both singular and plural, shall have the meaning indicated below:

Website: the website managed by the Company, an e-commerce platform for the sale of products;

Products: the products and/or services offered through the Website;

User: the person who accesses the Website, regardless of legal nature and purpose pursued, interested in the Products offered through the Website;

Consumer: a natural person acting for purposes unrelated to any entrepreneurial, commercial, craft or professional activity;

Terms: this agreement governing the relationship between the Company and Users and the sale or provision of Products offered through the Website.

2. CONCLUSION AND EFFECTIVENESS OF THE TERMS

The purchase contract for Products is concluded through the accurate completion and submission of the order form. This form includes the details of the purchaser and the order, the price of the purchased Product, any additional charges, payment methods and terms, the address where the Product will be delivered, delivery times, the existence of the right of withdrawal, and consent to the processing of personal data.

When the Company receives the order from the User, it will send a confirmation email or display a printable confirmation and order summary web page, which will also include the data mentioned in the previous point.

The Terms shall not be considered effective between the parties in the absence of what is indicated in the previous point.

The Company may modify or simply update, in whole or in part, these Terms. The User acknowledges and accepts that any changes to these Terms will apply to orders sent by Users after the date of communication of the modification of the Terms. Users are therefore invited to review the Terms each time they access the Website and are advised to print a copy for future reference.

3. REGISTRATION

To use certain features of the Website, Users must register by providing, truthfully and completely, all the data required in the relevant registration form and fully accept the privacy policy and these Terms. Users are responsible for safeguarding their access credentials.

It is understood that under no circumstances can the Company be held responsible in case of loss, disclosure, theft or unauthorized use by third parties, for any reason, of Users’ access credentials.

4. ACCOUNT DELETION AND CLOSURE

Registered Users may deactivate their accounts or request deletion through the Website interface or by sending a written communication to the email address social@molinapiumini.it, or by calling Customer Service at 0331/360920.

In case of violation by the User of these Terms or applicable legal provisions, the Company reserves the right to suspend or close the User’s account at any time and without prior notice.

5. PURCHASES ON THE WEBSITE

The purchase of one or more Products through the Website is permitted both to Users who qualify as Consumers and to Users who do not have such status.

Pursuant to art. 3, paragraph I, letter a) of Legislative Decree 206/2005 (“Consumer Code”), natural persons who, in relation to the purchase of Products, act for purposes unrelated to any entrepreneurial, commercial, professional or craft activity are considered Consumers.

Purchase by natural persons is permitted only if they have reached the age of eighteen.

The Company undertakes to describe and present the Products sold on the Website in the best possible way. Nevertheless, some errors, inaccuracies or small differences between the Website and the actual Product may occur. Furthermore, any photographs of Products on the Website do not constitute a contractual element, as they are only representative.

The User expressly grants the Company the right to accept even only partially the order placed (for example, in case not all ordered Products are available). In such case, the contract shall be considered perfected with respect to the Products actually sold.

6. PRICES AND PAYMENTS

The Company reserves the right to modify, at any time, the price of Products and any shipping costs. It is understood that any modifications will not in any way affect contracts already concluded before the modification.

Product sale prices are inclusive of VAT, if applicable; any other tax and/or shipping costs payable by the User will be indicated before purchase confirmation.

The User undertakes to pay the price of the purchased Product within the times and methods indicated on the Website.

Payment can be made by bank transfer or with PayPal (by subscribing to their service or with a credit card).

Any refund to the User will be credited promptly through one of the methods proposed by the Company and chosen by the User and, in case of exercise of the right of withdrawal, within a maximum of 14 days from the date on which the Company became aware of the withdrawal.

The Website uses third-party tools for payment processing and does not in any way come into contact with the payment data provided (credit card numbers, cardholder names, passwords, etc.).

If such third-party tools deny payment authorization, the Company will not be able to provide the Products and will not be responsible for any delay or non-delivery.

7. INVOICING

Users are always provided with an invoice for purchased products. For invoice issuance, the information provided by the User will be used, which they declare and guarantee to be truthful, releasing the Company from any liability in this regard.

8. RIGHT OF WITHDRAWAL (for Consumers)

Withdrawal period: 15 working days from receipt of goods.

Consumers have the right to withdraw from the purchase contract, without the need to provide any reason and without having to bear costs other than those provided by current regulations, within 15 working days from the date of receipt of the Product.

To exercise the right of withdrawal, Consumers must send written communication to the Company via:

Communication can be made using the attached standard withdrawal form or with any other explicit statement of the decision to withdraw.

Return of goods: Consumers must return Products within 14 days of communicating the decision to withdraw. Goods must be intact, unused and in original packaging.

Refund: The Company will refund all payments received from the Consumer within 14 days from the day it was informed of the decision to withdraw from the contract.

Excluded from refund:

Refunds will be made using the same payment method used by the Consumer for the initial transaction, unless otherwise agreed.

9. SHIPPING AND DELIVERY

Shipments are made through contracted couriers. Delivery times are indicative and may vary based on product availability and destination.

The Company undertakes to ship ordered Products within the timeframes indicated on the Website at the time of order.

The risk of loss or damage to Products transfers to the User upon delivery by the courier.

Users are required to check the packaging condition upon delivery and, in case of obvious damage, to refuse the package or accept it with reservation, immediately reporting the anomaly to the Company.

10. CONFORMITY AND WARRANTIES

Conformity defects that appear within 24 months from the date of purchase of the Product must be reported within 2 months from the date of discovery of the defect.

Unless proven otherwise, it is presumed that conformity defects appearing within six months of Product delivery already existed at that date, unless this hypothesis is incompatible with the nature of the Product or the nature of the conformity defect. After six months, it will be up to the User to provide proof that the damage was not caused by incorrect or improper use of the Product.

Pursuant to art. 130 of the Consumer Code, in case of Product conformity defect, Users have the right to restore Product conformity, free of charge. To this end, Users can normally choose between Product repair or replacement.

11. INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS

The Company declares to be the owner and/or licensee of all intellectual property rights relating to and/or concerning the Website and/or materials and content available on the Website.

All trademarks, figurative or nominative, and all other signs, trade names, service marks, trade names, illustrations, images, logos appearing on the Website are and remain the property of the Company or its licensors and are protected by current trademark laws and relevant international treaties.

12. LIMITATION OF LIABILITY

The Company assumes no responsibility for any fraudulent and unlawful use that may be made by third parties of credit cards, checks and other means of payment when paying for purchased services, provided it demonstrates having adopted all possible precautions.

Under no circumstances can the Company be held responsible for an amount exceeding twice the cost paid by the User.

13. FORCE MAJEURE

The Company cannot be held responsible for non-performance or delayed performance of its obligations due to circumstances beyond the Company’s reasonable control due to force majeure events or, in any case, unforeseen and unforeseeable events.

14. PRIVACY

Protection and processing of personal data will occur in accordance with the Privacy Policy, available on the Website.

15. APPLICABLE LAW AND JURISDICTION

These Terms and all disputes regarding their execution, interpretation and validity are subject to Italian law and the exclusive jurisdiction of the court where the Company has its registered office.

If the User is a consumer pursuant to art. 3 of the Consumer Code, the mandatory territorial jurisdiction is that of the court of the consumer’s place of residence or domicile, if located in Italian territory.

16. ONLINE DISPUTE RESOLUTION FOR CONSUMERS
